1. Who We Are and These Terms

These Terms of Service (“Terms”) are an agreement between you and Alex Vinsky, the operator of Neo (“Neo,” “we,” “us,” or “our”). They govern the Neo mobile application, website, and related services (collectively, the “Service”).

By creating an account, approving a student’s account, purchasing a subscription, or using the Service, you agree to these Terms and acknowledge Neo’s Privacy Policy. If you do not agree, do not create or approve an account or use the Service. If you accept for a child, you confirm that you are the child’s parent or legal guardian and have authority to provide the permissions described here.

Neo is currently offered directly to individuals and families. A school or other organization must contact Neo before using the Service institutionally or on behalf of students under an educational-services agreement.

2. Age Eligibility and Parent-Managed Profiles

Neo is intended for students age 8 and older. A child under 13 may use Neo only through a parent-managed profile after a parent or legal guardian provides the required consent described in the Privacy Policy. A user who is under the age of majority where they live may use Neo only with parent or guardian agreement when required by applicable law.

A parent or legal guardian who creates, approves, or manages a student profile confirms that they have authority to act for that student. Users may not misrepresent a student’s age, identity, or authority over an account.

3. Accounts and Security

  • Provide accurate, current information and keep it updated.
  • Protect account credentials and Parent PINs and limit parent controls to authorized adults.
  • Take responsibility for activity through the account and profiles under your control.
  • Notify Neo promptly if you suspect unauthorized access.
  • Do not sell, transfer, commercially share, or create an account using another person’s identity without authorization.

4. The Service

Neo provides AI-powered educational support and related account features. Features and limits may vary by account, subscription, device, age, region, language, or availability. Current limits and included features are shown in the Service.

5. AI and Educational Limitations

Neo’s tutors are artificial intelligence, not human tutors. AI explanations, feedback, transcriptions, visual interpretations, and answers may sometimes be inaccurate, incomplete, inappropriate, delayed, or based on a misunderstanding of the student’s work. Students and parents should use judgment and verify important information with a teacher, textbook, or other reliable source.

Neo is educational support, not a substitute for a teacher, school, qualified professional, responsible adult supervision, emergency assistance, or medical, mental-health, legal, financial, or safety advice. In an emergency, contact a trusted adult and the appropriate local emergency service.

Students must follow school and teacher academic-integrity rules. Neo may be used to understand and practice work, but not to cheat, impersonate another student, or complete an assessment where assistance is prohibited.

6. Your Content

“User Content” includes homework photographs, documents, drawings, handwriting, messages, voice input, transcripts, answers, feedback, and other material submitted through Neo. You retain any ownership rights you have in User Content.

You give Neo a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, display, format, transcribe, and process User Content only as reasonably necessary to provide tutoring and verification; save or synchronize work when requested; maintain security and prevent abuse; troubleshoot and support the Service; and comply with law. Neo may pass this limited license to service providers only to the extent needed for those purposes.

The license ends when the content or account is deleted, except for limited retention described in the Privacy Policy or required for security, legal compliance, or dispute resolution. It does not allow Neo to sell User Content, use it for advertising, or use it to train Neo’s general-purpose AI models.

You confirm that you have the right to submit User Content. Do not upload material that unlawfully infringes another person’s rights or personal information that is unnecessary for tutoring. AI-generated material may not be unique, copyrightable, free of third-party rights, or suitable for every use.

If you voluntarily send product ideas or suggestions, Neo may use those ideas to improve the Service without an obligation to compensate you. Personal information in feedback remains governed by the Privacy Policy.

7. Neo Materials and License

Neo and its licensors own the application, software, tutor characters, designs, graphics, branding, documentation, and other materials supplied through the Service, excluding User Content. Subject to these Terms, Neo grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for personal and family educational purposes.

You may not copy, sell, sublicense, distribute, modify, extract, reverse engineer, or create derivative commercial products from Neo except where applicable law expressly permits it. Third-party and open-source components remain subject to their applicable licenses.

8. Subscriptions, Trials, and Billing

Neo may offer free access, trials, paid subscriptions, referrals, or promotions. Prices, billing periods, trial terms, included features, limits, and any additional offer terms shown before purchase or in the Service control over any general description in these Terms.

  • Apple processes App Store purchases and charges the payment method associated with the purchaser’s Apple account.
  • A paid subscription renews automatically for the displayed billing period unless cancelled within the period required by Apple before renewal.
  • Manage or cancel through the Apple account’s subscription settings. Deleting Neo or deleting a Neo account does not cancel an Apple subscription.
  • If a free trial is offered, it converts to a paid subscription unless cancelled before it ends. Apple may determine trial eligibility.
  • Apple handles App Store refund requests under Apple’s rules and applicable law. Neo does not limit any refund or cancellation right provided by Apple or consumer law.
  • If paid access ends, stored profiles may remain associated with the account while paid features or additional profiles become inaccessible until access is restored.
  • Promotional or referral access may have separate terms and may be withheld or revoked for fraud or abuse.

9. Stars and Prizes

Neo may award virtual stars for completed learning activities and milestones. Stars and digital prizes are licensed Service features, have no cash value, cannot be purchased, sold, exchanged for money, or transferred, and are not currency, gift cards, bank deposits, or stored value. Neo may correct balances caused by technical error, duplicate activity, or abuse.

Real-world prizes are optional family-provided incentives. The account owner chooses whether to enable them. The account owner and their family are solely responsible for selecting, purchasing, supplying, delivering, supervising, and determining the safety, age appropriateness, availability, and legality of each prize. Neo does not sell, ship, reimburse, warrant, or guarantee real-world prizes.

Any dollar amount or monthly prize budget shown in Neo is an estimate and tracking tool, not a charge, purchase, reimbursement promise, or Neo price quote.

10. Acceptable Use

You may not use Neo to:

  • Violate a law or another person’s rights.
  • Harm, exploit, threaten, harass, or impersonate another person.
  • Submit unlawful, abusive, or sexually exploitative content.
  • Access accounts, systems, or data without authorization.
  • Introduce malware, interfere with the Service, scrape it, or automate interactions except as expressly allowed.
  • Evade subscriptions, usage limits, parent controls, or safety systems.
  • Reverse engineer the Service except where law permits.
  • Manipulate stars, prizes, referrals, progress, or subscription status.
  • Use Neo for prohibited academic dishonesty.
  • Use the Service or its output to build a competing model or commercial service without written permission.

Neo may investigate suspected misuse and take proportionate action to protect students, families, Neo, and others.

11. Privacy and Children’s Data

The Privacy Policy explains what Neo collects, why it is used, which providers process it, how long it may be kept, and the choices available to students and parents. For students requiring parent consent, the parent or legal guardian may request access, correction, export, or deletion and may withdraw consent as described there. Withdrawing required consent may prevent continued use of protected features. If these Terms conflict with the Privacy Policy about handling personal information, the Privacy Policy controls.

12. Service Availability and Changes

Neo depends on internet access, devices, Apple services, and third-party providers, so the Service may be delayed, interrupted, or unavailable. Neo may add, remove, or replace features for safety, reliability, legal compliance, or product improvement, with notice when required by law or when a change materially reduces a paid feature during an active prepaid period.

13. Suspension, Deletion, and Termination

You may stop using Neo or request account deletion at any time. Uninstalling the app does not necessarily delete a Neo cloud account, and deleting the app or Neo account does not cancel an Apple subscription. Deletion and retention are governed by the Privacy Policy.

Neo may restrict or suspend an account when reasonably necessary because of a violation of these Terms, a safety or security risk, suspected fraud or abuse, unlawful activity, nonpayment, or a legal requirement. Where reasonably possible, Neo will explain the restriction and provide a way to contact us.

14. Third-Party Services and Apple

Neo uses third-party providers to deliver parts of the Service. Their processing of personal information is described in the Privacy Policy. External websites or services linked from Neo may have separate terms and policies, and Neo is not responsible for services outside its control.

The Neo iOS application is licensed, not sold. Unless a custom end-user license agreement is presented through the App Store, Apple’s Standard Licensed Application End User License Agreement governs the app license. These Terms govern Neo’s Service and account relationship. Apple handles App Store billing and may determine refund eligibility. Apple is not responsible for providing Neo’s tutoring service, maintenance, or customer support.

15. Disclaimers

To the fullest extent permitted by law, Neo is provided “as is” and “as available.” Neo disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Neo does not warrant that AI content will always be accurate or appropriate, that the Service will detect every mistake, that stored or transmitted material will never be lost, that every feature will always be available, or that use will produce a particular educational result. Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.

16. Limitation of Liability

To the fullest extent permitted by law, Neo and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, opportunities, or data arising from the Service.

Where applicable law allows liability to be capped, total liability for claims relating to the Service will not exceed the greater of the amount paid for Neo during the 12 months before the event giving rise to the claim or US$100. These limits do not apply where liability cannot legally be limited, including mandatory liability for fraud, intentional misconduct, personal injury, or consumer rights. Some jurisdictions do not allow certain limitations, so this section may not apply in full.

17. Changes to These Terms

Neo may update these Terms for product, legal, security, or operational changes. Updated Terms will show a new date. Neo will provide reasonable advance notice of material changes through the Service, email, or another appropriate method. Where law requires it, Neo will request renewed agreement or parent consent. Continued use after an update becomes effective constitutes acceptance only where permitted by law.

18. Governing Law and Disputes

These Terms are governed by the laws applicable to Neo’s operator, without regard to conflict-of-law principles, except that mandatory consumer protections in a user’s place of residence continue to apply. Before filing a claim, please contact Neo so the parties can try to resolve the issue informally. A dispute not resolved informally may be brought in a court with lawful jurisdiction, including any forum a consumer is entitled to use under mandatory law.

19. General Terms

These Terms and the Privacy Policy are the entire agreement concerning the consumer Service. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. A user may not transfer an account or rights under these Terms. Neo may assign these Terms as part of a merger, financing, reorganization, or sale of the Service, subject to the Privacy Policy and applicable law. Headings are for convenience only.

Provisions that by their nature should continue after termination—including ownership, payment obligations, disclaimers, liability limits, and dispute provisions—remain in effect.
